Herbalife Sets Fundraising Goal of $1 Million
LOS ANGELES, Feb 7,
2005 (BUSINESS WIRE) -- Herbalife Ltd. (NYSE:HLF) announced the
completion of its call option to redeem $110 million, or 40%,
of the outstanding principal amount of its 9 1/2% Notes due April
1, 2011. This transaction was completed on February 4, 2005, and
was a component of the Company's recapitalization associated with
its initial public offering which closed on December 21, 2004.
Pursuant to the terms of the 9 1/2% Notes due 2011, the call option
was exercised on February 4, 2005, after providing the required
notice to bondholders. The redemption premium of $10.5 million
and the remaining unamortized deferred financing costs of $3.8
million as of February 4, 2005, are anticipated to be non-deductible
expenses and will be reported in the Company's first quarter 2005
results. After completing this transaction, the Company will have
a debt structure that includes the remaining $165 million of 9
1/2% Notes due 2011 and a $225 million Credit Facility, including
a $200 million term loan and a $25 million revolving credit facility.

Herbalife Sets
Fundraising Goal of $1 Million
LOS ANGELES, January 4, 2005 - Herbalife Ltd. (NYSE: HLF) today
announced a fundraising goal of $1 million to donate to tsunami
disaster relief efforts. The Herbalife Family Foundation (HFF),
a non-profit organization created to assist children in need,
has set up a special fund to accept donations, which will be donated
to two international organizations that focus on the needs of
children and are already well-established in the regions affected:
Save the Children and SOS Children's Villages.
The company will champion donations from employees
and Distributors by giving ten cents to every dollar donated to
Herbalife Family Foundation earmarked for the "Tsunami Relief"
fund -- until the goal is reached.
Save the Children has met the emergency and long-term
needs of some of the region's poorest children and families for
over 30 years. They have teams on-the-ground in many of the hardest
hit areas, including Aceh Province in Indonesia delivering fuel,
supplies, temporary shelter materials and food, especially for
children under five. Herbalife's partnership with Save the Children
dates back to the first HFF donation to help in Kosovo in 1999.
SOS Children's Villages has been the HFF focus
in India for six years. SOS staff are already in Nagapattinam,
India, which was heavily affected, working in tents providing
first aid and moving in additional resources to help the children,
many of whom lost their parents in the tsunamis.
